Public offer for authors of the Gidlist library

UNUMIS LTD (UNUMIS MCHJ), a limited liability company registered in the Republic of Uzbekistan (the Licensee), offers any person with full legal capacity, sole trader or company (the Author) a licence agreement on the terms of this offer (articles 367 and 369 of the Civil Code of the Republic of Uzbekistan).
The agreement is concluded on acceptance: in their Gidlist account the Author enters their full name, confirms agreement with the offer and presses “Accept the offer”. This acceptance is made by an electronic message and by actions, and counts as an agreement in writing (articles 366 and 370 of the Civil Code; the Law on Electronic Commerce). The Licensee keeps the details of the acceptance — date and time, account, version and text of the offer, IP address and device — and shows them in the copy of the agreement the Author can download from their account at any time.
1. Terms
Platform: the Gidlist service — the gidlist.com website, the app.gidlist.com web app and the Gidlist mobile app.
Library: the part of the Platform where Authors’ checklists are published.
Checklist: the Author’s work — a list of items, their structure, descriptions and instructions — sent by the Author to the Library.
User: anyone who views a Checklist or copies it into their space on the Platform; Buyer: a User who has paid for a copy of a paid Checklist.
Payment operator: Lemon Squeezy, LLC, which takes payment from Buyers, or another operator the Licensee uses.
2. Subject of the agreement
The Author grants the Licensee a non-exclusive licence for each Checklist the Author sends to the Library and the Licensee’s moderator approves.
The licence gives the right to reproduce the Checklist, show it on the Platform and make it available to the public, and to let Users copy it into their spaces free of charge or for payment, change their copies and use them in their work without time limit.
The exclusive right in the Checklist stays with the Author, who may use the Checklist and allow others to use it.
One agreement covers all of the Author’s Checklists; each newly approved Checklist falls under it without a separate agreement.
3. Territory and term
The licence applies worldwide for as long as the agreement is in force.
Copies Users received before the agreement ended or the Checklist was withdrawn stay with them and may be used without time limit.
4. The Author’s name
The Licensee shows the Author’s name from their profile next to the Checklist and in copies where the Platform provides for it, with a link to the Author’s public profile.
5. Price of a copy
The Author makes the Checklist free or sets the price of a copy in US dollars, from 5 to 1,000. A price and changes to it apply once a moderator approves them.
Copies are sold through the Payment operator, which takes payment and deducts its fee and any sales taxes due.
6. The Author’s royalty
For each copy sold the Author earns a royalty of 70% of the amount the Licensee actually receives for that sale, that is after the Payment operator’s fee and the taxes it deducts. The other 30% stays with the Licensee.
Free Checklists, and copies made by the Author or by moderators, earn no royalty.
If a Buyer is refunded, no royalty is due on that sale; if it was already paid, the amount is deducted from the next payouts.
7. Statement, act and payout
A sale counts towards a payout 14 days after payment. By the 10th of each month the Licensee prepares a statement of the previous month’s sales and royalties, which the Author sees in their account.
Based on the statement the parties sign an act, including electronically (Didox or an electronic digital signature).
The royalty is paid within 5 working days of signing the act, in so’m at the Central Bank of the Republic of Uzbekistan rate on the payment date, to the Author’s bank account or card. If less than 20 US dollars is due, it is carried over to the next month.
For the first payout the Author gives the Licensee their passport details (PINFL) or company details, bank details and status (individual, sole trader, self-employed, company).
8. Taxes
Where the law makes the Licensee a tax agent, the Licensee withholds taxes from an individual’s royalty and pays them to the budget; the Author receives the amount net of what was withheld.
Sole traders, self-employed persons and companies are paid without withholding once their status is confirmed, and pay their own taxes.
9. The Author’s warranties and duties
The Author warrants that they are the author of the Checklist or otherwise entitled to grant the licence, and that the Checklist infringes no third-party rights and no law.
The Author puts the content of regulations (sanitary rules, GOST standards and the like) in their own words and does not copy others’ protected texts word for word.
The Author is responsible for the accuracy of the Checklist and makes sure it does not encourage dangerous actions. The Author settles third-party claims about the Checklist’s content and compensates the Licensee for losses they cause.
10. Moderation
The Licensee may decline to publish, hide or withdraw a Checklist, and suspend an Author’s profile, giving the reason.
The Author may hide their Checklist from the Library in their account at any time.
11. Liability
The Licensee does not guarantee any number of views or sales.
The Licensee’s liability to the Author is limited to royalties earned and not yet paid.
12. Personal data
The Author agrees to the processing of their personal data to conclude and perform the agreement: full name, email address, the details of the acceptance and, for payouts, passport and bank details. Processing follows the Gidlist Privacy Policy (gidlist.com/en/privacy).
Only the Author’s profile is shown publicly: name, photo, description, credentials, contact and industries.
13. Changes to the offer
The Licensee may change the offer by publishing a new version on gidlist.com. To send new Checklists, the Author accepts the new version in their account. Royalties earned before a change are paid on the previous terms.
14. Termination
Either party may end the agreement with 30 days’ notice to the other, through the account or by email. Royalties earned before termination are paid. The Author’s Checklists are withdrawn from the Library; Users keep their copies.
15. Disputes and governing law
The agreement is governed by the law of the Republic of Uzbekistan. The parties settle disputes by negotiation and, failing that, in the court of the Licensee’s location.
The offer is published in Uzbek, Russian and English. If the texts differ, the Russian text applies.
